LETTERS PATENT WHEREAS an application has been filed to incorporate a corporation without share capital under the name TRENT RADIO AND WHEREAS the Minister of Consumer and Commercial Relations is the member of the Executive Council to whom the administration of the Corporations Act is assigned. THEREFORE I, by virtue of the aforesaid powers vested in me, do by these Letters Patent issue a charter constituting the applicants named in the application which is attached hereto and which forms part of these Letters Patent, and any other such persons who become members of the corporation hereby created, a corporation without share capital in accordance with the provisions of the said Act. AND IT IS HEREBY ORDAINED AND DECLARED that the Letters Patent shall also contain and be subject to the following terms, conditions and provisions: (a) The corporation shall be carried on without the purpose of gain for its members and any profits or other accretions to the corporation shall be used in promoting its objects. Minister of Consumer and Commercial Relations (Larry Grossman) -- - 2 - THE OBJECTS FOR WHICH THE CORPORATION IS TO BE INCORPORATED ARE: (a) To plan, design, conduct and operate broadcasting seminars, programmes and presentations among and between university students and those enrolled in extension and special courses of Trent University, with a view to increasing education and training of university personnel in the communication arts; (b) To provide a medium for the enjoyment and appreciation of music, drama, news and cultural programming generally and to create extra-curricular activity in the braodcasting field for the students of Trent University; (c) For the objects aforesaid, to acquire, lease, own, establish, equip, maintain and operate a radio and wireless braodcasting and receiving station for the purpose of transmitting or receiving through the air, whether independently or in conjunction with any telegraphic, telephonic or other conducting means, wireless or radio messages of any kind, including television and all sound, images and pictures of whatsoever kind; (d) In connection with the business of the Corporation: 1. To manufacture, buy, sell, import, export, use, lease, let, install or in any other manner deal in and with the whole or any part or parts of any electrical, wireless, radio or magnetic article, machinery, equipment, appliance, transcription or device used in connection with the broadcasting, receiving or transmitting through the air of sound, images and pictures of whatsoever kind; 2. To apply for, obtain, register, purchase, lease or license on royalty or otherwise acquire and hold, use, own, introduce, and sell, assign, lease or license on royalty or otherwise musical, theatrical or other works capable of being copywrited; 3. To contract with persons, firms and Corporations to furnish, edit and transmit news, market quotations, music, concerts, singing, drama, talks and the like as a medium of advertising or otherwise, and to enter into and carry out advertising and other contracts of every kind and nature that may be necessary for or conducive to the accomplishments of any of the objects of the Corporation; 4. To employ artists, speakers, writers and composers, and to give prizes and awards; 5. To arrange, secure, produce, create, or otherwise provide, sell lease, market, or deal in and with pictures, plays, photoplays, concerts, musicals, theatricals, singing, speaking or any other sounds or images whatsoever which may be transmitted by wireless, radio or television apparatus, and any and all rights and interests therein and incidental thereto; 6. To lease and hire time from operators of radio or television or wireless broadcasting stations and to lease and hire transmission lines from operators of telephone and telegraph systems for the purposes of or in connection with broadcasting of any sound, images or pictures whatsoever, whether by transcription or otherwise; 7. To prepare, publish and sell or otherwise dispose of booklets, periodicals or other reading materials relative to radio and wireless broadcasting. The corporation applies for the issue of supplementary letters patent to provide as follows: BE IT RESOLVED AS A SPECIAL RESOLUTION OF THE CORPORATION that the objects of the Corporation be amended by deleting clauses (a) and (b) and substituting therefor the following: (a) To plan, design, conduct and operate seminars, programmes and other activities for the purpose of providing to members of Trent University and to Members of the community in and around the City of Peterborough information, education and training in broadcasting and communication arts; (b) To provide a medium for the enjoyment and appreciation of music, drama, news, public affairs, community and cultural programming generally and to create extra-curricular activity in the broadcasting field for the members of Trent University and of the members of the community in and around the City of Peterborough. TRENT RADIO (signed) by President and Secretary NOTE TO SUPPLEMENTARY LETTERS PATENT The letters patent issued to Trent Radio when first incorporated in 1978 do not accurately reflect the corporations aims and objectives now. When the Steering Committee made its report to the Board in the spring of 1984, it particularly emphasised a sharing of facilities between the university community and that of Peterborough. This was adopted by the corporation at an annual general meeting. Supplementary letters patent were not applied for PRIOR TO 1985 because the new Corporations Act gave organisations such as Trent Radio the priviledge of acting as individuals without reference to letters of limitation.
