General Manager's Contract Committee for BoD Meeting 12 Sep 02 Subject: GM Employment Contract amendments for Y/E 2001 & 2002 AUTHORITY: from Employment Contract 17 July 2000 - Other Considerations: In the event that Trent Radio finds itself in a short fall of funds, Trent Radio shall seek to mitigate any pecuniary or other loss to the General Manager. Though not limiting the generality of the foregoing, this may take the form of deferring payments to some future date. Concomitantly, the General Manager shall work with the Board to moderate any disruption in the affairs of the Corporation, including the operation of its radio facilities, should such a short fall arise. 21Apr02 BoD Minutes: It was decided that Al Kirkcaldy and Ellen Waterman would serve on the General Manager's contract committee, and that recommendations would be brought to the Board at the end of the summer. RECOMMENDATIONS; Personnel Committee Meeting: 13Aug02 - Al Kirkcaldy, Emily Addison and John Muir Please note that subsequent to the 21 Apr 02 BoD meeting, Ellen Waterman resigned her Board position owing to her leaving the area to pursue a teaching post at Guelph University, and that Emily Addison took on her role for this committee. 1) The amount of compensation to be paid on or before 30 September 2004, in consideration, without prejudice, and as a fraction of salary, benefit and overtime waived to during the year ending 31 August 2001, amounting to 10,152.03 and pursuant to the contract of employment executed on 17 July 2000 shall be set at $2,000. The amount to be completely waived is $8,152.03. This $2000 sum shall be credited as a long term, Contract Obligation liability in the books of the Corporation and the total amount shall be $33,000. Both parties to the Contract Obligation shall negotiate a reasonable agreement as to the repayment or disposition of this debt on or before 31 May 2004. 2) The annual increase for the General Manager's salary and benefits shall be set at 1.3%, such that the annual salary shall be $29,378.66, the annual health benefit shall be $1,152.88, and the annual reimbursement for employee owned auto costs shall be $474.90, for a total of $31,006.44 (a fortnightly salary of 1,192.56), for the year ending 31 August 2003 pursuant to the above cited employment contract dated 17 July 00. 3) The rate of reimbursement for approved out of town trips shall remain at $0.30/km 4) Trent Radio shall underwrite cable modem service for the General Manager's use. 5) Trent Radio continue to seek new revenues for the funding of its paid staff. 6) Trent Radio shall investigate initiating an audit to confirm levy fees collected and paid for the last seven years and that this audit shall be completed before the end of February 2003 and that Trent Radio's auditor be asked for advice on how to undertake this audit. 7) If in the outcome of the audit any monies are found owing to Trent Radio and that some amount of these monies be paid to Trent Radio and held by Trent Radio to offset the amount of monies waived by the employee for this year and any Contract Obligation liabilities.
