MINUTES OF THE BOARD OF DIRECTORS OF TRENT RADIO MEETING, held at 751 George Street on 23 Sep 1998 at 1:30 p.m. P R E S E N T: Grant Ball, Esther Caldwell, Bill Thompson and eventually Andrew Parker. R E G R E T S: Francesca Cioffi and Nick Smith Also Present: John K. Muir, General Manager Notice of this meeting, having been duly communicated to the Directors, but a quorum not being present at the time of convening, the meeting was called to order and not declared duly constituted at 1:55 p.m., with Bill Thompson acting as Chair and John K Muir acting as Secretary. It was agreed that all resolution made at this meeting would be re-presented for confirmation as soon as a quorum existed. PREVIOUS MINUTES: UPON A MOTION duly made, seconded and carried unanimously, the Minutes of the Board meeting held 24 June 1998 were approved as read. BUSINESS ARISING: There was no business arising. COMMITTEE REPORTS: Personnel Committee: At this point John Muir left the room, while Bill Thompson presented the report of the Personnel Committee. UPON A MOTION duly made, seconded and carried unanimously, be it resolved that the report and recommendations Personnel Committee in regards to the General Manager's compensation and benefits be accepted and adopted. At this point John Muir was invited back into the meeting, and informed of the Board's decision. Nominating Committee: The AGM is set for November and the Nominating Committee needs to be struck and to put forward candidates. Discussion followed. UPON A MOTION duly made, seconded and carried unanimously, be it resolved that; the Nominating Committee shall be Bill Thompson, Esther Caldwell, and Grant Ball with the Programme Director providing reference. Fundraising: Grant Ball presented the plan (see attached) for the NEXXUS rave/fundraiser set for 26 Sep 98 at the Champlain Great Hall. UPON A MOTION duly made, seconded and carried unanimously, be it resolved that; the plan and up front disbursements related to the event are approved. The Board thanks both Grant and Allyson Longmuir for their hard work in staging this event. It was note that the Casino Rama trip is coming up and Barb Bell will be able to provide details at the next meeting. OPERATIONS REPORT: Financial Statements Y/E 98 and Budget Y/E 99: John Muir presented the projected financial statements for the fiscal year just ended 31 August 1998 and the budget for the fiscal year ending 31 August 1999 - see attached. Discussion followed. During this time Andrew Parker arrived and there being a quorum of directors, the meeting was declared duly constituted. UPON A MOTION duly made, seconded and carried unanimously, be it resolved that; the budget with recommendation be approved as presented. It was noted at this time that the General Manager is to exercise especial prudence and vigilance in managing finances until the new revenues materialise as outlined in the budget. Other Information - see attached A report on sponsorship was presented It was reported that a new security system has been installed and should pay for itself in about two years. The Walk Home programme has been given permission to use TRadio House in the evenings until their new facilities are ready. A report was made regarding the repairs and maintenance undertaken during the shutdown. UPON A MOTION duly made, seconded and carried unanimously, the Operations Report was accepted. Social Secretary - Radio Salon: Andrew Parker reported that a Salon is planned for the evening of Wednesday, 14 October at the Jolly Hangman. A poster and letters of invitation have been prepared. UPON A MOTION duly made, seconded and carried unanimously, be it resolved that all resolutions are now confirmed which passed prior to there being a quorum of Directors present and the meeting duly constituted. The next meeting of the Board shall be on 30 September 1998, at 1:30 pm in the Mezzanine at Peter Robinson College.
